Provider Agreement
Last updated: 18 September 2026
In short
- You are an independent business, not a Uven employee. You set your own prices, choose your own jobs, and decide how the work is done.
- Uven finds you customers, takes the money, holds it in escrow, and pays you. We take a commission out of your payout.
- Commission is on a sliding scale and depends on the type of booking. It is fixed at the moment a job is booked and shown to you before you accept.
- You are paid when the customer approves, or automatically after a set period if they do nothing. A dispute holds the money until it is decided.
- On a cash job you collect the money and you still owe us our commission. We take it from your wallet balance or your next payouts.
- Your listings are yours. If AI helped draft one, the words and the prices are still your responsibility.
- This agreement is governed by the laws of Ghana, and claims go to the courts of Ghana.
This is the provider side of Uven. When you book a service for yourself, the customer Terms of Service apply to that. Both sit alongside our Privacy Policy and Security Policy.
01 Who we are, and what this agreement covers
Uven Tech Ltd ("Uven", "we", "us") runs the Uven platform: the websites www.uven.app and www.uven.tech, and the Uven, Uven Pro and Uven Admin mobile applications (together, the "Platform"). We are registered in Ghana, our address is Haatso West Legon, Accra, and we operate in Ghana.
This Provider Agreement is the contract between you and Uven when you offer or perform services through the Platform. It applies from the moment you register as a provider. Where it differs from the customer Terms of Service on something specific to providers — commission, payouts, debt, listings, crew work — this agreement applies. Everything else in those terms applies to you too.
Our Privacy Policy, our Security Policy, and the detailed booking policies published in the Uven apps — cancellation and refund, disputes, conduct, content and reviews — form part of this agreement. This page is the authoritative version of the provider agreement; the apps link here rather than keeping their own copy.
02 You are an independent business
You are an independent contractor, not an employee, worker, agent, partner or joint venturer of Uven. Uven is an intermediary: we operate a marketplace, introduce you to customers, handle the money and give both sides a way to resolve problems. We do not perform services and we do not sell yours as our own.
What that means in practice, and what you are agreeing to:
- You set your own prices within the rules of the Platform, and you choose which jobs to accept and which to decline.
- You decide how the work is done — your methods, your sequence, your standards of craft. We do not supervise or direct you.
- You set your own hours and are under no obligation to accept any particular volume of work. Declining jobs is allowed, though it affects what customers see about your reliability.
- You provide your own tools, equipment, materials and transport, and bear their cost.
- You may work elsewhere, including on competing platforms and directly for your own customers. This agreement is not exclusive.
- You get no employment benefits from Uven — no salary, no leave, no pension contribution, no social security contribution, no notice period, no redundancy entitlement.
- You cannot bind Uven. Do not hold yourself out as employed by Uven, as representing Uven, or as authorised to make commitments on our behalf.
Quality standards, conduct rules and reliability measures in this agreement exist to keep the marketplace usable for everyone. They govern whether you may continue to use the Platform; they do not make Uven your employer and do not give us control over how you do the work.
03 Getting on the Platform: eligibility and verification
You must be at least 18, legally able to contract, and legally entitled to work and to provide your service in Ghana. If your trade requires a licence, a permit, a certification or insurance, you must hold it, keep it current, and produce it on request.
Before you can take work we verify who you are. You agree to give us accurate identity details, a government identification number, and any supporting documents we reasonably ask for, and to consent to the checks we run on them. Tell us promptly if anything material changes — a licence lapses, a conviction arises, your right to work changes.
Verification is a condition of access, not a one-off. We may re-verify at any time, and we may restrict your account while a check is outstanding. How we handle your identity documents and what we encrypt is set out in our Privacy Policy.
Giving us a false document or a false statement is grounds for immediate termination, and we will report it where the law requires.
04 Your listings and your prices — including where AI helped
Your listings must describe what you actually do, at prices you are actually willing to work for. Do not advertise a qualification you do not hold, a service you cannot perform, or a price you intend to raise on the day.
AI can draft your listing. You remain responsible for it.
To save you time, you can describe your service in your own words and have a draft listing generated for you — a name, a category, the questions customers should be asked, and suggested rates. That draft is a starting point. You must read it, correct it, and publish it only when it is accurate, and once published it is your listing and your price. An error in it is your responsibility, not ours, whether it came from a draft or from your own typing. AI never sets a price on Uven — suggested rates are proposals you accept, edit or reject.
How a customer's price is produced. Prices are calculated automatically, by fixed rules, from the answers a customer gives and the rates and options you configure. Some quotes are ranges rather than fixed prices, and some items are marked as priced only after you have inspected the job. Set your rates so that the number a customer sees is one you can honour, because the price a customer confirms is the price you are bound to deliver at — subject only to a change order they approve (section 07).
We may adjust how your listing is presented — category, search ranking, formatting, the images shown — so the marketplace works. We do not change your prices.
05 Taking a job, and what you owe the customer
When you accept a booking or a customer accepts your proposal, you take on a contract with that customer to perform the work as described, at the agreed price, at the agreed time. That contract is between you and the customer. Uven is not a party to it and does not guarantee your performance to the customer or theirs to you.
You agree to:
- turn up on time, or tell the customer through Uven chat as early as you can if you cannot;
- perform the work with the skill and care expected of a competent professional in your trade, and to the standard your listing promises;
- work safely, comply with the law, and respect the customer's property and household;
- keep communication about the job on the Platform, so there is a record if anything is questioned later;
- mark the job or milestone complete honestly, only once the work is genuinely done, and give evidence of completion where asked;
- put right, at your own cost, work that falls short of what was agreed.
You may bring a helper or substitute where the work allows it, but you remain fully responsible for the job, for anyone you bring, and for their conduct and their right to work. The customer must know who is coming.
You may refuse or leave a job if you feel unsafe. Tell us as soon as you can and we will look into it. Nothing in this agreement requires you to stay somewhere you are at risk.
06 Commission: what Uven takes, and how
Uven earns in two separate ways, and they are not the same thing. The customer pays a platform fee on top of your price — that is ours, charged to them, and never comes out of your money. You pay a commission, deducted from what you are paid.
How commission is worked out
- It is a sliding scale, not a flat rate. The percentage varies with the size of the payout, and larger jobs generally carry a lower rate.
- It varies by the type of booking. A standard booking, a recurring plan and a proposal job can each carry a different scale.
- It is shown to you before you take the job, and it is fixed at that moment. A later change to our commission schedule does not reach back into a job already booked.
- It applies to every job sourced through Uven, however it is paid — card, mobile money, wallet or cash.
Because the rate depends on the job, we do not publish a single percentage here; the current schedule is in the Uven Pro app and the exact figure appears on each job before you accept it. We may change the schedule for future bookings, and we will tell you before a change takes effect. Any tax we are required to charge applies to our commission, not to your price.
07 Change orders: how to charge for extra work
If the job is bigger than it was described, or needs a part you have to buy, do not negotiate it on the doorstep. Submit a change order through the Platform, describing the change and the new amount.
- The customer must approve it. There is no threshold below which a price change goes through automatically.
- Once approved, the money held must cover the new total before the change takes effect. If the customer does not fund it, the change order does not take effect and the old price stands.
- If the customer declines, the agreed price is unchanged. Do the job as booked, or cancel under the cancellation policy — do not perform the extra work unpaid and claim for it afterwards.
- If the booking is cancelled or ends while a change order is open, the change order is cancelled with it.
Work agreed off-Platform is not protected. It is not held in escrow, we cannot enforce it in a dispute, and taking payment for it outside Uven breaches this agreement (section 15).
08 Escrow: when you actually get paid
When a customer confirms a booking, their money is taken and held by the Platform against that specific booking. It is not yours yet, and a request that has not been confirmed holds no money at all. Do not start work on an unconfirmed request.
Money is released to you in one of two ways:
- The customer approves the completed job or milestone. This is the fastest path, so mark completion promptly and give good evidence.
- The waiting period runs out and release happens automatically: 48 hours after completion on a standard booking, 72 hours after delivery on each milestone of a proposal job, and the end of the cycle plus 24 hours on a recurring plan. This exists so a silent customer cannot leave you unpaid.
What reaches you is the job amount for that release, less your commission. On a milestone job each stage is funded, delivered, approved and released on its own — a customer funding stage two is not funding stage three, so do not start a stage that is not funded.
A dispute holds the money, with no fixed time limit
A dispute raised on a booking suspends automatic release. While a dispute is recorded against a booking — open, or resolved but not formally closed — the funds stay held, and we do not promise a date on which they move. We would rather tell you that than promise a timeline we cannot keep. If you believe a dispute on your job has been settled and the money is still held, email support@uven.app and we will close it out.
09 Your wallet, and getting money out
Money released to you lands in your Uven wallet. The wallet distinguishes between the balance that is available — yours to withdraw or spend on the Platform — and the balance that is locked, held against an obligation such as a booking you have made yourself. You can only withdraw available balance.
You withdraw to a bank account or a mobile money account you register. Keeping those details accurate is your responsibility. We are not responsible for money sent to an account you entered incorrectly, and recovering it may not be possible.
Payouts can be checked, delayed or limited
A withdrawal to a bank or mobile money account may be subject to verification before it is paid, and to limits on how much can be withdrawn in a given period. Those checks exist to meet our legal obligations and to stop fraud and money laundering. A payout may be held, reduced or refused where:
- your identity verification is incomplete or out of date;
- the amount exceeds a limit that applies to your level of verification;
- the payout details do not match the verified account holder;
- we are investigating fraud, a dispute, or a legal or regulatory requirement;
- you owe money to Uven (section 11).
We will tell you when a payout is held and what is needed to release it. Completing verification is the fastest way through.
Once we have sent a payout, how long it takes to arrive is in the hands of your bank or mobile money operator, and public holidays and their own processing times apply.
10 Cash jobs
Where you accept cash, the customer pays you directly on the day. That means the job never passes through escrow, so the protection escrow gives you — money confirmed as held before you start — does not apply. If the customer does not pay you, that is a debt they owe you, and we cannot release funds we never held.
If you take a cash job you agree to:
- record the payment in the app promptly and accurately, including part payments;
- collect no more than the agreed amount, and never ask for cash to top up a job already paid for on the Platform;
- account for the cash in your own tax records;
- pay Uven its commission on that job, which is due exactly as it would be on a card payment.
Because we never hold the money, we cannot deduct commission at source. It becomes an amount you owe us, handled as section 11 describes. Marking a Platform job as cash-paid in order to avoid commission is fraud and ends your account.
11 When you owe Uven money, and how we recover it
You can end up owing Uven money. The commonest reason is commission on a cash job, which we could not take from a payout because there was no payout. Others are a refund or dispute outcome settled after you were already paid, an overpayment, a chargeback or reversal on a payment we passed on to you, and a penalty properly applied under the cancellation policy.
You authorise us to recover it
By using the Platform you authorise Uven to recover an amount you owe us by deducting it from the available balance in your Uven wallet, and by setting it off against future payouts until it is cleared. We may do this without asking each time, and we may do it in instalments as money becomes available.
- We take only from available balance. We do not take money that is locked against one of your own bookings, and we do not claw back a payout that has already left.
- Recovery is opportunistic and repeated. If there is nothing to take today, the balance stays outstanding and we try again as money arrives. Time passing does not cancel it.
- You can see what you owe in the app, and you can settle it directly at any time instead of waiting for it to be taken.
- An outstanding balance can restrict your account — we may hold payouts, limit new bookings, or suspend you until it is cleared.
- The debt survives your leaving. Closing your account does not extinguish it, and we may recover it as a debt due, including through the courts.
If you think an amount is wrong, tell us at support@uven.app before it accumulates. We will show you the jobs it relates to.
12 Crew jobs: working alongside other providers
Some jobs need several providers at once, or several services bundled together. One customer, one booking — but each provider is engaged separately.
- You are responsible for your own part only, and only your own part is judged. You are not liable to the customer for another member's work, and they are not liable for yours.
- You are paid your own share, released against your own part of the job, with commission calculated on your share. Being on a crew does not make you a partner of the others or jointly liable for the whole job.
- If a member does not show up, their share is refunded to the customer automatically and they are not paid. The rest of the crew still does its work and is still paid. Where someone else's absence makes your own part impossible, tell us before you leave — do not simply abandon the site.
- If you are the one who does not show up, you are not paid for that part, the customer is refunded, and repeated absences affect your standing and can end your account.
- Where a service in a bundle cannot be filled, we look for a substitute provider first and refund that part only if no one can be found.
Coordinate through the Platform, treat the other providers professionally, and do not use a shared job to recruit the customer or the crew off Uven.
13 Recurring work
A recurring plan is a customer booking the same service on a repeating schedule. It is a standing commitment: by taking one you are holding that slot, and the customer is planning around you.
- Funds are held for each cycle and settle at the end of that cycle. Commission applies per cycle at the rate fixed when the plan started.
- The customer can skip a visit, pause, resume or cancel at any time. Cancelling ends future cycles; it does not undo a cycle already performed and paid for. A recurring plan is not a guarantee of future income.
- If you miss a cycle, that cycle's funds are refunded to the customer and you are not paid for it.
- If the customer's payment fails repeatedly the plan is paused automatically. A paused plan is not cancelled, but do not perform visits on one.
- If you can no longer serve a plan, say so through the Platform and give as much notice as you can, so the customer can be reassigned rather than let down.
14 Cancellations, no-shows and reliability
Cancel through the Platform, never by simply not turning up. When you cancel a booking you have accepted, the customer is refunded in full for it. What a customer's own late cancellation means for you — including the portion of a late cancellation that is paid over to you — is set out in the cancellation and refund policy in the Uven app, which applies in full; we do not restate its numbers here so that there is only one place they can be wrong.
Not turning up
A confirmed booking where you never arrive is flagged automatically once a grace period past the scheduled time has passed. The booking is cancelled, the customer is refunded in full without having to file a dispute, and you are paid nothing for it. A no-show is worse for you than an honest cancellation, because the customer waited. If you are running late or something has gone wrong, message them.
Reliability is measured — acceptance, punctuality, completion, cancellations, no-shows and ratings — and it affects how often you are offered work and how you appear to customers. Repeated cancellations or no-shows lead to reduced visibility, then suspension, then termination.
15 Conduct: what will end your account
You agree not to:
- take a Uven customer off the Platform — soliciting a customer you met through Uven to book directly, or taking payment outside the Platform for work sourced on it;
- harass, threaten, abuse or discriminate against a customer, another provider or our staff, on any ground;
- demand more money on site, refuse to finish until you are paid extra, or pressure a customer into approving a change order;
- mark work complete that is not complete, or submit false evidence of completion;
- create fake bookings, fake accounts or fake reviews, or manipulate ratings in any way;
- misuse what you learn on a job — a customer's address, phone number, household details or access arrangements — for anything other than doing that job;
- work under the influence of alcohol or drugs, or bring anyone to a job the customer has not been told about;
- use the Platform for fraud, money laundering or anything illegal, or copy, scrape, reverse-engineer or attack it.
A customer's details are given to you for the job and nothing else. Do not keep them, market to them, or pass them to anyone. How we expect data to be handled is set out in our Privacy Policy and Security Policy.
16 Disputes about a job
A customer can dispute a job, and so can you. Talk to the other side in Uven chat first — most problems end there. If that fails, open a formal dispute on the booking through the app.
Evidence is what decides it. You can attach photos, messages and a written account. Photograph the job before and after, keep receipts for materials, and keep the conversation on the Platform — chat messages are kept for 90 days and then permanently deleted, so a dispute raised late may have no record behind it.
We aim to respond within 24 hours and to resolve within 5 business days. These are targets, not guarantees. The money stays held throughout (section 08).
A person at Uven decides, case by case, on the evidence — there is no automatic formula and no AI involvement. The outcome may be: release the funds to you in full; split them; refund the customer in full; or require you to return and redo the work at no extra charge. Our decision governs the money the Platform holds and is final as to that money. It does not decide your legal rights, and either of you may pursue the other outside the Platform.
Refusing to take part in a dispute, or ignoring a redo we have directed, is a breach of this agreement.
17 Ratings and reviews
Customers rate and review your work, and those reviews appear on your profile. They are the opinions of the people who wrote them, not statements by Uven.
We do not remove a review because it is negative, and a review cannot be bought, traded or taken down by agreement. We do remove reviews that break our content rules — abuse, hate speech, someone's personal details, spam, a review of a job that never happened, or a review written by someone with a stake in the outcome. Report one through the app and our team will assess it against the rules; reporting it does not guarantee removal, and we will not adjudicate whether an honest opinion is fair.
You may reply publicly to a review. Reply professionally: do not disclose the customer's personal details, and do not retaliate. Never offer a discount, a refund or a free job in exchange for a review or its removal — that is grounds for suspension.
18 Your content, and the licence you give us
Your listing text, portfolio photos, job photos, videos and profile picture stay yours. By posting them you confirm you own them or have the right to share them, and that they infringe nobody's rights.
The licence. By posting content you grant Uven a non-exclusive, worldwide, royalty-free licence to host, store, copy, resize, adapt for display, and show that content for the purpose of operating and promoting the Platform — showing your portfolio to customers browsing, featuring your listing in our own marketing of the Platform. It does not include selling your content or licensing it to anyone else for their own purposes.
How the licence ends. Delete content and the licence ends for future use. Closing your account removes your account record and your identifiers, but past bookings, payments, disputes and the records attached to them are kept in de-identified form because the law requires it and because a past job also belongs to the customer — so content forming part of such a record may remain for as long as we must keep it. Section 11 of the Privacy Policy sets out exactly what deletion does.
We may review, refuse or remove content that breaks this agreement, and uploads may be held for moderation before they are shown publicly.
19 Images: what you may upload, and the stock photos on your listing
Only upload images you have the right to use. A photo you found online, a competitor's portfolio, or a manufacturer's marketing shot is not yours to post. A photo of work you did at a customer's property needs that customer's permission before it goes in your portfolio, and it must not show anyone's face, documents, vehicle registration or address without their agreement.
If you upload nothing, we may attach a stock photo
So that your listing is not blank, we may attach a licensed stock photograph sourced from services such as Pexels, Unsplash or Pixabay, or from our own library. That image is not yours and it is not ours either — it is licensed, we record its source and licence, and it illustrates the type of service rather than your work. You may not download it, reuse it elsewhere, or present it as a photograph of a job you did. Upload your own photos and it is replaced, which is better for you in any case: customers book real work.
Never imply that a person in a stock photograph endorses you, works for you, or is a customer of yours. They are models with no connection to you, and claiming otherwise is a misrepresentation to customers and to them.
20 Uven's own intellectual property
The Platform — the software, the design, the text, the graphics, the databases, and the name and logo "Uven" and our other marks — belongs to Uven Tech Ltd or to those who licensed it to us. While this agreement is in force you have a personal, limited, non-exclusive, non-transferable, revocable licence to use the Platform to offer and perform services, and nothing more.
You may say that you take bookings through Uven. You may not use our name or logo in a way that suggests we employ you, endorse you, or vouch for your work, and you may not register a business name, domain or social account that could be mistaken for ours. You may not copy, modify, distribute, sell, reverse-engineer or build a derivative of any part of the Platform, or extract its data.
If you send us an idea or a suggestion for the Platform, we may use it without owing you anything for it.
21 Tax, insurance and your own compliance
You are responsible for your own taxes. Uven does not deduct income tax from your payouts and does not file returns for you. Register, declare and pay whatever your income requires, including on cash jobs. We may report information about payments made to you where the law requires it, and we will give you the records you need.
Any tax charged on Uven's commission is a tax on our own service, not on your price, and appears as such in your statements. We do not give tax advice; if you are unsure, get your own.
Insurance is yours to arrange. Uven does not insure you, your tools, your helpers, or the work you do, and does not cover damage or injury you cause. We strongly recommend appropriate liability insurance for your trade, and it may be mandatory in some trades.
22 Suspension and termination
You can leave at any time. Stop accepting work and close your account from the app, or email support@uven.app. Finish the jobs you have accepted first — leaving customers stranded is itself a breach, and any balance you owe us survives your departure (section 11).
We may suspend or terminate your account where:
- you breach this agreement or a policy that forms part of it;
- verification fails, lapses, or a document turns out to be false;
- we reasonably suspect fraud, off-Platform transacting, or illegal activity;
- a customer's safety is at risk, or a serious safety or conduct complaint is made;
- your reliability or ratings fall persistently below what the marketplace can carry;
- you owe us money and will not settle it;
- we are required to by law.
Process. For most breaches we act in steps: a warning, then restricted visibility or a temporary suspension while we look into it, then termination if it continues or is serious. We will tell you why, and you can respond to us at support@uven.app and ask us to look again. Where there is a serious or immediate risk — safety, fraud, a legal requirement — we may suspend first and explain after.
What happens to money. Termination does not cancel what is owed in either direction. Escrow on your open bookings runs its normal course — approval, automatic release, refund, or a dispute decision — and your available balance, less anything you owe us and less any amount we must reasonably hold against an open dispute, refund or investigation, is paid out to you.
23 What we do not promise, and limits on liability
The Platform is provided as it is and as it is available. To the fullest extent Ghanaian law allows we exclude implied warranties, and we do not promise that the Platform will be uninterrupted or error-free. We do not promise you any volume of work, any level of earnings, or any particular customer. Job flow varies with demand, season, location, your ratings and your prices.
We are not responsible for a customer's conduct, for a customer who does not pay you in cash, for loss or damage caused to you at a job, or for a third-party service we rely on — payment processors, mapping, messaging and cloud providers — failing or going down.
Nothing here limits liability that cannot be limited under Ghanaian law, including for death or personal injury caused by our negligence, and for our own fraud. Subject to that, and to the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential or punitive loss, or for lost profit, lost earnings, lost bookings, lost data or lost goodwill.
- Our total liability to you for all claims connected with a booking is limited to the amount payable to you for that booking. For claims not connected with a particular booking, it is limited to the total commission you paid us in the six months before the claim arose.
- These limits apply whether the claim is in contract, in tort, under statute or otherwise, and survive termination.
Indemnity. You agree to indemnify and hold harmless Uven Tech Ltd, its directors, employees and agents against claims, losses, liabilities, damages, costs and reasonable legal fees arising out of: the services you perform; injury, loss or damage you or anyone you bring causes; your breach of this agreement or of any law; a tax, licensing or employment claim arising from your own arrangements; content you post; and any claim that you were our employee or worker. We will tell you promptly of any claim we are indemnified against and will not settle it without talking to you first.
24 Changes to this agreement
We update this agreement as the Platform and the law change. The date at the top shows when it last changed, and this page is always the current version — because the apps link here, the version you see here is the version that applies.
If a change materially affects your money or your rights — how commission works, how payouts are released, how debt is recovered, how disputes are decided, or how we limit our liability — we will tell you in the app or by email before it takes effect, and give you a reasonable period to read it.
Continuing to offer or perform services through the Platform after a change takes effect means you accept the changed agreement. We record that acceptance — the version you accepted and when — so both of us can tell which version governed a given job. If you do not accept a change, stop taking new work and close your account; a booking accepted before the change keeps the commission and terms that applied when you accepted it.
25 Governing law and where a claim is heard
This agreement, and any dispute or claim arising out of it or out of your use of the Platform, are governed by the laws of the Republic of Ghana, without regard to conflict-of-laws rules. The courts of Ghana have exclusive jurisdiction, and you and we both submit to them.
Before going to court, use the quicker routes: for a problem on a job, the dispute process in section 16; for a payout, a commission figure or an amount you are said to owe, email support@uven.app and give us 30 days to put it right. For a complaint about how we handle your personal data, email privacy@uven.app; you can also complain to the Data Protection Commission of Ghana at any time.
The rest of the legal plumbing. If a court finds part of this agreement unenforceable, the rest stays in force. Our not enforcing something on one occasion does not waive it. You may not transfer your rights under this agreement to anyone else, and you may not let someone else use your provider account; we may transfer ours to a company that takes over our business, and will tell you if we do. This agreement, with the documents named in section 01, is the whole agreement between you and Uven about your use of the Platform as a provider. Nothing in it creates a partnership, an employment relationship, or an agency between us.
