1. Introduction

Welcome to Uven! This Terms of Use and User Agreement ("Agreement" or "Terms") constitutes a legally binding contract between you ("you," "your," or "User") and Uven Tech Ltd ("Uven," "we," "us," or "our"), the owner and operator of the Uven platform.

By registering for an account, accessing, or using our Platform in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, do not use the Platform.

2. Definitions

• "Platform": Refers to the Uven website, mobile applications, tools, and all associated services.
• "Client": A User who registers to request, book, and pay for Services from a Provider.
• "Provider": A User, operating as an independent contractor, who registers to offer and perform Services for Clients.
• "User": Any individual or entity using the Platform, including Clients and Providers.
• "Service": The specific home or lifestyle task or job requested by a Client and agreed to be performed by a Provider.
• "Booking": An agreement between a Client and a Provider for the performance of a Service, made via the Platform.
• "Service Fee": The fee Uven charges to the Provider and Client for the use of the Platform.
• "Service Payment": The total amount paid by the Client for a Service.
• "Escrow Account": A dedicated account managed by Uven or a third-party payment processor to hold the Service Payment.
• "Dispute": A disagreement between a Client and a Provider regarding a Booking or Service.

3. The Uven Platform

3.1. Nature of the Platform

Uven provides a marketplace to connect Clients seeking home and lifestyle services with Providers who can offer those services.

3.2. Uven is NOT a Service Provider

Uven does not directly provide the Services listed on the Platform. Providers are independent contractors, not employees, agents, partners, or joint venturers of Uven.

3.3. No Employment Relationship

You acknowledge and agree that Uven is not an employer. As a Provider, you are responsible for your own taxes, insurance, tools, and compliance with all applicable laws and regulations.

4. User Eligibility and Accounts

4.1. Eligibility

To use the Platform, you must be at least 18 years old and have the legal capacity to enter into binding contracts.

4.2. Account Registration

You must create an account to use most features of the Platform. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Notify Uven immediately of any unauthorized use of your account.

5. Provider Verification

5.1. Background Checks

Uven may, at its discretion, facilitate verification and background checks on Providers using third-party services.

5.2. Provider Responsibility

Providers must consent to these checks as a condition of using the Platform and must provide all necessary information and documentation.

5.3. Disclaimer

While Uven facilitates these checks to build a community of trust, we do not guarantee the accuracy, completeness, or currency of any background check.

6. Financial Terms

6.1. Booking and Service Payment

When a Client books a Service, they agree to pay the full Service Payment as quoted on the Platform.

6.2. Escrow Service

The Service Payment is held in escrow until the Provider marks the Service as complete AND the Client confirms completion through the Platform.

6.3. Uven Service Fee

Uven charges Providers a Service Fee for each completed Booking. This fee is automatically deducted from the Service Payment.

6.4. Cancellations and Refunds

Cancellation policies and any applicable fees will be clearly stated at the time of Booking.

6.5. Taxes

All Users are solely responsible for determining their own tax reporting requirements and for remitting all applicable taxes.

7. Dispute Resolution

7.1. User-to-User Resolution

Clients and Providers are strongly encouraged to first attempt to resolve the issue amicably using the Uven chat system.

7.2. Formal Dispute with Uven

If a resolution cannot be reached, either party may escalate the issue to Uven by submitting a formal dispute claim through the Platform.

7.3. Uven's Role

Uven will act as a neutral mediator to resolve the Dispute.

7.4. Finality of Decision

You agree that Uven's decision with respect to any funds held in Escrow is final and binding on both the Client and the Provider.

8. User Conduct and Responsibilities

All Users agree to:

• Use the Platform only for lawful purposes.
• Provide accurate and truthful information.
• Treat all other Users with respect and professionalism.
• Communicate and make payments exclusively through the Uven Platform.
• Not engage in any form of harassment, discrimination, or abusive behaviour.
• Comply with all applicable local laws and regulations.

9. Intellectual Property

9.1. Uven's IP

All content on the Platform is the property of Uven or its licensors and is protected by copyright and other intellectual property laws.

9.2. User Content

By posting content on the Platform, you grant Uven a worldwide, non-exclusive, royalty-free license to use, copy, display, and distribute such content.

10. Disclaimers and Limitation of Liability

10.1. "AS IS" SERVICE

The Platform is provided "as is" and "as available" without any warranties of any kind, express or implied.

10.2. NO GUARANTEE

Uven does not guarantee the quality, safety, reliability, or legality of any Service provided by a Provider.

10.3. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Uven shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10.4. CAP ON LIABILITY

In no event shall Uven's aggregate liability for all claims relating to the Platform and services exceed the greater of (a) One Hundred Ghanaian Cedis (GHS 100.00) or (b) the total Uven Service Fees you paid to Uven in the six (6) months prior to the event giving rise to the liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless Uven and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses.

12. Term and Termination

12.1. Term

This Agreement is effective upon your first use of the Platform and continues until terminated.

12.2. Termination by You

You may terminate this Agreement at any time by deleting your account.

12.3. Termination by Uven

Uven may, in its sole discretion, suspend, or terminate your account and access to the Platform at any time and for any reason.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any legal suit, action, or proceeding arising out of or related to this Agreement or the Platform shall be instituted exclusively in the courts of the Republic of Ghana.

14. General Provisions

14.1. Changes to Terms

Uven reserves the right to modify these Terms at any time. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

14.2. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

14.3. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Uven regarding your use of the Platform.
